DISCLAIMER

In no event will SeoFerry.com be liable for:

Any compensatory, direct, indirect, incidental, consequential, or punitive damages, loss of programs or data, income or profit, business interruption, and the like with regard to services, products, and information provided through in or downloaded from the service, or any delay of such information or service.
Any claim attributable to errors or inaccuracies in services, products, or information downloaded through the service even if SeoFerry.com or its authorized representatives have been advised of the possibility of such damages. CAMPAIGN CANCELLATION AND REFUND POLICY

All Services rendered either directly by Praali Consulting Services Inc. Or through its partners are on a pre-paid subscription basis. Payments are usually managed and reconciled on a per project basis. Recurring payments may be arranged by contacting our Sales team.

If the client changes his/her mind about doing work with Praali Consulting Services Inc. during the course of the campaign, the client will be responsible for the amount of work already completed. Depending on the amount of work completed at the time of cancellation, this may mean receiving a full refund, a partial refund, no refund, or owing additional fees. In order to protect clients from unintentional service interruption, clients wishing to terminate any services must request the service termination in writing.

Under this policy:

Cancellations may be requested only within the 5-days window prior to the launch of a campaign
The Client agrees that no refund shall be given arising from cancellations requested after the launch date.
Cessation of work for Project websites may be requested, and the remaining work may be allocated to another Project URL, however this request is subject to approval by Praali Consulting Services Inc.
Praali Consulting Services Inc. reserves the right to first allocate any remaining budget to services that may benefit any other URL belonging to the client
Generally due to the nature of our work, we do not assure any refunds upon cancellation.
If refund is made, we would debit the amount for the work already completed, and for the work in process
Taxes paid on services to regulatory bodies would not be refunded.
Currency conversion charges and rate fluctuations will be debited before any refund.
In the event of any violation to the terms and conditions of our policy, we would cancel the agreement and would not refund anything
We will not refund if any delay happens because of third party participation

TERMINATION

Either party may terminate this agreement without notice at any time for any reason. The provisions under pertinent paragraphs including “Copyright and Trademark Notices”, “Your Right to Use the Site and Its Content”, “Indemnification”, “Third Party”, and “General” shall survive any termination of this agreement.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SeoFerry.com, its agents, officers, employees, suppliers, and third party information providers against any and all liabilities, losses, expenses, damages, and costs, including reasonable legal fees, arising from any violation of this agreement including negligent or wrongful conduct by you or any other person accessing the Site and its products, services, and information.

PERFORMANCE & PAYMENT

Whilst every effort is attempted to get the client’s website to page one on Google for the agreed keywords in a realistic time frame, SeoFerry.com does not guarantee 1st page rankings.
All payments are made on an up-front rolling monthly basis. SeoFerry.com will report on the work completed 25 days after the launch date and the reseller has 5 days to assess our performance and pay for subsequent terms.
Unless explicitly instructed by the agency partner in specific circumstances, no-one neither SeoFerry.com nor its associated brands will contact the end user client of the reseller.
SeoFerry.com will not divulge your client details or the fact that you outsource to any third party.

INDEPENDENT INVESTIGATION

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT SERVICES ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF USING THE SERVICES RENDERED BY PRAALI CONSULTING SERVICES INC. THROUGH THIS WEBSITE AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

GENERAL

This agreement shall all be governed by the laws of Canada. The terms and conditions herein constitute the entire agreement between Praali Consulting Srvices Inc. and you with respect to your use of the Site. Any cause of action you may have with respect to your use of the Site shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Canada (and you consent to non-exclusive jurisdiction and venue in such courts). Any such cause of action that you may have must be commenced within three (3) months after the claim or cause of action arises or such claim or cause of action is barred. The failure or SeoFerry.com to insist upon or enforce strict performance of any provision of this terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. SeoFerry.com may assign its rights and duties under this agreement to any party at any time.
